1. Agreement to these terms

These Terms of Service ("Terms") govern your use of the inspection360.ai website and the Complete iQ Inspect applications and services (together, "the Service") provided by Complete iQ, Inc. ("we", "us", "our"). By using the Service you agree to these Terms and to our privacy policy. If you don't agree, don't use the Service.

If your organization has signed a separate agreement with us for the Service, that agreement governs your organization's use and takes precedence over these Terms where they conflict.

2. The Service

Complete iQ Inspect is a guided vehicle inspection and claims workflow tool. It lets insurance carriers, adjusting firms, managing general agents, fleet and rental operators, their staff, and the people they invite (such as policyholders and claimants) document vehicles with photos and structured information, and lets those organizations review the results.

Automated and AI-assisted features, such as photo quality checks, damage highlights and text reading from photos, are aids that can be incomplete or wrong. They support, and never replace, the decisions made by the organization responsible for a claim or vehicle.

3. Eligibility and accounts

You must be at least the age of majority where you live to use the Service. Some features require an account or an invitation from an organization that uses the Service. You are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly about any unauthorized use.

4. Acceptable use

You agree not to:

• Submit information or images that are false, misleading or fraudulent.
• Upload content you don't have the right to share, or that infringes anyone's rights.
• Access accounts, data or systems you aren't authorized to access.
• Interfere with, disrupt, reverse engineer or try to get around the security or integrity of the Service, including by automated or abusive use of our website forms.
• Use the Service in violation of any applicable law or regulation.

5. Your content

"Your Content" means the photos, answers and other information you submit through the Service. You keep ownership of Your Content. You grant us a limited license to host, process and transmit Your Content to operate and provide the Service, including making it available to the organization that requested your inspection. You are responsible for the accuracy of Your Content and confirm that you have the right to submit it.

6. Insurance disclaimer

The Service is a documentation and workflow tool. We are not an insurance company, broker or adjuster, and we don't make coverage determinations, claim decisions or payments. Any decision about a claim is made solely by the responsible insurer or its representatives. Nothing in the Service is insurance, legal or financial advice.

7. Intellectual property

The Service, including its software, design, text and logos (excluding Your Content), is owned by us or our licensors and protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute or create derivative works from the Service without our prior written consent.

8. Third-party services

The Service relies on third-party providers (for example hosting, messaging, scheduling and analysis services) and may link to third-party websites. We aren't responsible for the content, policies or practices of third parties, and your use of their services may be subject to their own terms.

9. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't warrant that the Service will be uninterrupted, secure or error-free, or that results obtained from it will be accurate or reliable.

10. Limitation of liability

To the maximum extent permitted by law, Complete iQ, Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us, if any, for the Service in the twelve months before the claim.

11. Indemnification

You agree to indemnify and hold harmless Complete iQ, Inc. and its affiliates from any claims, liabilities, damages and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service or Your Content.

12. Termination

We may suspend or end your access to the Service if you violate these Terms or if we discontinue the Service. When access ends, the rights granted to you under these Terms end too. Sections that by their nature should survive (such as ownership, disclaimers, limitation of liability and indemnification) continue to apply.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll update the date above and, where appropriate, give additional notice. Continuing to use the Service after changes take effect means you accept the revised Terms.

14. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of or relating to these Terms or the Service, except where the law of the place you live gives you the right to bring a claim elsewhere.
